LETTER OF AGREEMENT

THIS AGREEMENT is dated this

by and between HICKORY COMMUNITY THEATRE (“HCT”) and

(“Actor”). In consideration of the mutual covenants and conditions contained herein, it is hereby agreed as follows:

1. HCT engages the Actor to provide performance services as a part of the Production of WAITRESS (the “Production”).

2. The Actor’s services shall begin on APRIL 21st, 2025, and terminate on JUNE 22nd, 2025 (POST STRIKE, and barring Performance Extension outlined below), unless otherwise terminated by any of the other provisions contained herein.


Potential Extension dates: JUNE 26th, 27th, and 28th.

3. DUTIES

During the term hereof, the Actor’s duties shall consist of rehearsing and performing in The Production under the instruction of the artistic team, including The Director, Producer, and Stage Manager (as well as any other artistic staff as applicable). The Actor is expected to memorize and practice their respective roles and execute them at a high caliber in performance for HCT. The actor understands The Actor may be asked to participate in publicity and promotional efforts for the production (including but not limited to talk-backs, media appearances, etc); however, these particular duties are based on the Actor’s availability and willingness to participate. ALL PARTICIPANTS ARE EXPECTED TO PARTICIPATE IN THE STRIKE, WHICH WILL BE SCHEDULED IN ADVANCE. NO ONE IS EXCUSED FROM STRIKE WITHOUT PERMISSION IN ADVANCE FROM HCT ARTISTIC DIRECTOR ERIC SEALE. Failure to participate in a strike without an approved excused absence may prejudice The Theatre from contracting the Actor’s future participation at HCT.

4. SCHEDULES/ABSENCES AND LATENESS

The Actor shall provide any relevant conflicts to The Production team at auditions or upon casting in a timely manner. The rehearsal, technical, and performance schedules will be provided to the Actor by the artistic team and The Actor agrees to keep to the schedule as provided (Allowances can be made for reasonable emergencies). The Actor agrees to contact their Stage Manager (appointed agent) as soon as possible if they will miss or be late for any scheduled events. The Actor acknowledges that start times are when the actual work begins and they should have arrived and be ready to work at that time.

5. BILLING

The Actor shall be entitled to billing when applicable and they will be listed as follows:

The Actor agrees to provide HCT with a bio of 50 WORDS OR LESS and in compliance with the standards as set by HCT. HCT reserves the right to edit bios for space and to maintain standards and compliance.

6. COMPENSATION

The Actor acknowledges that their participation in the Production is as a volunteer and will feature no financial remuneration. The Actor will receive FOUR complimentary ticket passcodes for the run of the show, use of these codes must be used as HCT dictates for the Play and can be different between shows as needed.


7. PERSONAL EFFECTS

The Actor agrees that HCT is not responsible for the security of the Actor's personal property or effects.


8. THEATRE PROPERTY

The Actor agrees to make sure to leave all spaces within and in related areas outside of the Theatre in neat and clean order. The Actor agrees to respect and help reasonably maintain the HCT property. This includes but is not limited to the rehearsal space, backstage, dressing rooms, green room, etc. The Actor agrees to extend this respect of the property to scenic items, properties, and costumes. The Actor agrees to follow instructions and rules as set down by the theatre. In particular, The Actor acknowledges that they may be using expensive technical equipment such as microphones and will follow instructions for use and care, and The Actor acknowledges failure to do so may result in termination of their participation with HCT.


The Actor further recognizes that the Libretto Vocal Books for WAITRESS are pre-release editions from Music Theatre International, INC., and that they must be returned to HCT in order for them to be shipped back. These editions can not be kept/purchased or in any way prevented from being returned to the Music Theatre International. The Actor safeguards return of the Libretto Vocal Book.


9. ALCOHOL AND DRUGS

The Actor agrees that no alcohol or drugs are to be consumed on the premises before, and/or during rehearsals, meetings, and performances. The Actor also recognizes that attending rehearsals, meetings, or performances under the influence of drugs or alcohol is against the policy of HCT and can lead to the termination of their participation.


10. HARASSMENT OR DISCRIMINATION

The Actor acknowledges that they have received and understand the HCT Code of Conduct on Harassment and Discrimination and that they will abide by HCT’s policies and that failure to do so may result in their participation being terminated.


11. MEDIA RELEASE

The Actor grants HCT and its designees the right to use their name, likeness, image, voice, appearance, and performance as embodied for the Production whether recorded on or transferred to videotape, video files, film, slides, photographs, audio tapes, or other media, now known or later developed. This grant includes without limitation the right to edit, mix or duplicate and to use or re-use the product in whole or part as HCT may elect. HCT or its designee shall have complete ownership of the product in which they appear, including copyright interests, and they acknowledge that they have no interest or ownership in the product or its copyright. The Actor also grants HCT and its designees the right to broadcast, exhibit, market, sell and otherwise distribute the product, either in whole or in parts, and either alone or with other products, for commercial or non-commercial television or theatre, closed-circuit exhibition, home video distribution or any other purpose that HCT or its designees in their sole discretion may determine. This grant includes the right to use the product for promoting or publicizing any of the uses. The Actor confirms that they have the right to enter into this Agreement and that they are not restricted by any commitments to third parties. The Actor hereby gives all clearances, copyright and otherwise, for use of the Actor’s name, likeness, image, voice, appearance, and performance embodied in the product. The Actor expressly releases and indemnifies HCT and its officers, employees, agents, and designees from any and all claims known and unknown arising out of or in any way connected with the above-granted uses and representations. The rights granted HCT herein are perpetual and worldwide.

In consideration of all the above, The Actor hereby acknowledges receipt of reasonable and fair consideration from HCT. The Actor affirms they have read the foregoing and understand its terms and stipulations and agree to all of them.


12. BACKGROUND CHECKS

As part of the selection process and on an ongoing basis, HCT will conduct background checks (via a third-party service) in accordance with the following policy: HCT will conduct criminal background checks of all employees, contractors, and volunteers. Name-based record searches may be used in any combination but shall, at a minimum, (a) verify the person’s identity and legal aliases, (b) provide a National Sex Offender Registry search, and (c) provide a national criminal record search. Such checks shall be conducted seasonally not to exceed twelve (12) months. All background check findings shall be considered when making employment or volunteer decisions. It is the policy of HCT that an employee or volunteer will be automatically ineligible for employment or volunteer service if such individual:

(a) refuses to consent to a criminal background check.

(b) makes a false statement in connection with such a criminal background check.

(c) is registered or is required to be registered on a State or National sex offender registry.

By signing this letter of agreement, the signee is giving their consent to the criminal background check per the HCT policy.


13. TERMINATION

HCT may terminate this agreement if the Actor fails to abide by the rules of this agreement.


The Actor represents and warrants that they are of legal age to enter into this agreement.


In Witness Whereof, the parties have hereunto affixed their hands and sealed the above-listed day and date.

Eric Seale (Richard Burbage) is the Artistic Director of HCT and is making his Firemen’s Kitchen debut, having previously only appeared in the Jeffers Theatre (ANASTASIA, NOISES OFF). FK directing credits include SQUIRRELS, AIRNESS, and BY THE BEAUTIFUL BEAUTIFUL SEA. He is honored to portray Richard Burbage, the first Hamlet, Lear, and Macbeth.
